These Terms of Service (the "Terms") constitute a legally binding agreement between you ("you", "your", or the "User") and XEY Company ("XEY", "we", "us", or "our"), governing your access to and use of the MuseAI platform, including all associated websites, applications, application programming interfaces, and related services (collectively, the "Service").

By registering for an account, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.
1.1 Entity Representation.If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms, in which case the term "you" shall refer to such entity.
1.2 Age Requirement. The Service is intended for users who are at least 13 years of age. By using the Service, you represent that you meet this age requirement.
To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update such information.
3.1 Credential Security. You are solely responsible for maintaining the confidentiality of your account credentials, including any API keys issued to you. You accept full responsibility for all activities that occur under your account, whether or not authorized by you.
3.2 Unauthorized Access. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to comply with this Section.
The Service operates on a prepaid credit system. Credits are purchased in packages and consumed on a per-generation basis as further described in our pricing page.
4.1 Non-Expiry. Purchased credits do not expire while your account remains in good standing.
4.2 Non-Transferability. Credits are non-transferable and may not be sold, exchanged, or gifted to third parties, except as expressly permitted by us in writing.
4.3 Refunds. Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference.
4.4 Price Changes. We reserve the right to modify the pricing of credits at any time. Price changes will not affect credits already purchased.

We reserve the right to review User Content and Generated Content for compliance with this Section and to suspend or terminate accounts that we determine, in our reasonable discretion, have violated these Terms.
6.1 Ownership of the Service. The Service, including its software, design, text, graphics, and underlying technology, is owned by XEY Company and is protected by copyright, trademark, and other intellectual property laws. No license or right in the Service is granted to you except as expressly set forth in these Terms.
6.2 User Content. You retain all rights in and to your User Content. By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process such content solely for the purpose of providing the Service to you.
6.3 Generated Content. Subject to your compliance with these Terms, you own the Generated Content produced by the Service in response to your prompts, and you may use such content for any lawful purpose, including commercial use.
6.4 Feedback. Any suggestions, ideas, or feedback you provide regarding the Service may be used by us without restriction or obligation to you.
When you elect to publish Generated Content to the Public Library, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to display, reproduce, and distribute such content within the Service. You acknowledge that content published to the Public Library is publicly accessible and may be viewed, downloaded, or used by other users in accordance with these Terms.
7.1 Withdrawal. You may remove content from the Public Library at any time; however, copies may persist in caches, archives, or content created by other users prior to removal.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT GENERATED CONTENT WILL MEET YOUR EXPECTATIONS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XEY COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED US DOLLARS (USD $100).
You agree to indemnify, defend, and hold harmless XEY Company and its affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content or Generated Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.
We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to violation of these Terms. In the event of termination for cause, unused credits will be forfeited. You may terminate your account at any time by contacting us; upon termination, your data will be deleted in accordance with our Privacy Policy.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice. We may also revise these Terms from time to time. The most current version will always be posted on this page. By continuing to use the Service after revisions become effective, you agree to be bound by the revised Terms.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved through good faith negotiations between the parties. If the dispute cannot be resolved within thirty (30) days, either party may submit the dispute to the competent courts of the Republic of Indonesia, which shall have exclusive jurisdiction.
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
